General Terms and Conditions (GTC)

Effective Date: April 3, 2025

1. Scope of Application
These General Terms and Conditions (GTC) apply to all digital or personal services and contractual agreements between Thai Life Solutions Co., Ltd. (hereinafter referred to as “TLS”) and its clients, regardless of the client’s place of residence, unless otherwise expressly agreed in writing.

2. Conclusion of Contract
A contract with TLS is deemed concluded by:
– written confirmation (e.g., via email),
– payment of the agreed fee, or
– actual use of the offered service.

3. Scope of Services
TLS provides consulting, intermediary and support services related to living, working, and securing one’s livelihood in Thailand and surrounding regions.
The specific scope of services is defined in the individual offer or agreement.

4. Fees and Payment Terms
– All prices are net amounts in Thai Baht (THB), unless otherwise stated.
– Value-added tax (VAT) is only applied if TLS is subject to VAT under Thai tax law.
– Invoices must be paid within 14 days of receipt without deductions.

5. Liability
– TLS is only liable for intent or gross negligence.
– Liability for indirect or consequential damages or lost profits is expressly excluded.
– TLS does not guarantee the outcome of processes or decisions made by third parties (e.g., authorities, insurance providers, banks, or service partners).

6. Data Protection
TLS complies with all applicable data protection regulations, including the Thai PDPA and – where applicable – the EU GDPR.
Personal data is used exclusively for the performance of the agreed services.

7. Confidentiality
Both parties agree to maintain strict confidentiality regarding any information received during the course of collaboration – even beyond the termination of the contract.

8. Termination
Unless otherwise agreed in writing:
– Contracts may be terminated in writing with 4 weeks’ notice to the end of any calendar month.
– Services already started or rendered will be invoiced proportionally.

9. Final Provisions
– Thai law shall apply exclusively.
– The place of jurisdiction is Bangkok, Thailand.
– TLS is a fully digital company with no publicly accessible premises. All services are provided remotely.
Should any provision of these GTC be or become wholly or partially invalid, the validity of the remaining provisions shall remain unaffected.
